User Agreement

PLEASE READ THIS AGREEMENT CAREFULLY.

BY ACCEPTING THIS AGREEMENT, YOU ACCEPT THESE TERMS AND CONDITIONS (the "Terms").

This agreement was revised on 9th January, 2001 These terms were put in place to protect you and us from any wrong doing. For those of you who don't want to read the whole thing, here's a quick summary. However, we do recommend that you read the whole agreement.

• You can only use this site if you are over 18
• This site is just intended to be a matching service, we don't handle or have any responsibility over any part of the transaction process.
• Do not try to conduct any illegal activity on our site
• Don't try to sue us if anything goes wrong.

Acceptance of Terms. By completing the sign-up process and selecting the radio button saying "I AGREE", You agree to these Terms. S2SNetwork may amend these Terms from time to time. We will notify You of updates to these Terms. If You do not agree to the changes, You may discontinue your account. The amended Terms shall automatically be effective 30 days after they are initially posted on our site Your continued use of our service will signify your acceptance of the updated Terms. This Agreement may not be otherwise amended except in a writing signed by both parties.

Who Can Use S2SNetwork. You must be at least 18 years of age to use our services and You must be able to form legally binding contracts under applicable law. If You do not qualify, please do not use our services. Furthermore, S2SNetwork may refuse our services to anyone at any time, in our sole discretion.

Fees. Joining S2SNetwork is free. We reserve the right to change or discontinue, temporarily or permanently, some or all of our services at any time without notice.

S2SNetwork IS JUST A MATCHING SERVICE.
Our site acts as a matching service for users to locate people to purchase and sell items and to negotiate the exchange of goods. We are not involved in the actual transaction between trading partners. As a result, we have no control over the quality, safety or legality of the items being sold, the truth or accuracy of the item listings, the ability of sellers to fulfill their obligations in a trade agreement. We cannot and do not control whether or not sellers will complete their part of a trade. In addition, note that there are risks of dealing with foreign nationals, underage persons or people acting under false pretense.

YOUR INFORMATION AND ITEMS FOR SALE.
Your information includes any information You provide to us or other users during the registration, trading or listing process, in any public message area or through any email feature ("Your Information"). With respect to Your Information:

• You are Responsible. You are solely responsible for Your Information, and we act as a passive conduit for your online distribution and publication of Your Information. However, we may take any action with respect to such information we deem necessary or appropriate in our sole discretion if we believe it may create liability for us or may cause us to lose (in whole or in part) the services of our ISPs or other suppliers.

• Rules about Content. You agree that Your Information and the items You offer for trade on S2SNetwork:

1. will not be fraudulent or involve the sale of counterfeit or stolen items;
2. will not infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy (See our Copyright Policy for more information);
3. will not violate any law, statute, ordinance or regulation (including without limitation those governing export control, consumer protection, unfair competition, antidiscrimination or false advertising);
4. will not be defamatory, trade libelous, unlawfully threatening or unlawfully harassing;
5. will not be obscene or contain child pornography.
6. will not contain any viruses, Trojan horses, or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information; and
7. will not link directly or indirectly to or include descriptions of goods or services that: (i) are prohibited under this Agreement; or (ii) You do not have a right to link to or include.

Prohibited Items. Furthermore, You may not post on our site or trade through our site any: (a) items that, could cause us to violate any applicable law, statute, ordinance or regulation

The License You Grant to Us. You agree to grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicenseable (through multiple tiers) right to exercise the copyright and publicity rights (but no other rights) You have in Your Information, in any media now known or not currently known, for the purpose of offering our services.

Privacy. S2SNetwork will only use Your Information in accordance with our Privacy Policy. The complete terms of our Privacy Policy are part of this Agreement so You should read it. Please note that when You voluntarily disclose personal information in S2SNetwork's trading areas, that information can be collected and used by others. THE SELLING PROCESS

Selling an Item. Listings are text descriptions, graphics and/or pictures on S2SNetwork's web site supplied by You that either; (a) describe an item You have that You want to sell, or (b) describe an item You are looking for. You may post either or both of these listing types of listings on S2SNetwork's site, provided that You place such listings in an appropriate category. S2SNetwork is not responsible for the accuracy or content of listings.

Negotiating a Trade. Seller and Buyers on S2SNetwork negotiate with each other through the process of emailing either the buyer or seller and negotiating the terms of the sale.

Handling Disputes. We do not and cannot be involved in dealings between buyers and sellers. In the event that You have a dispute with one or more users, You release S2SNetwork (and our agents and employees) from claims, demands and damages (actual and consequential) of every kind and nature arising out of or in any way connected with such disputes. If You are a California resident, You waive California Civil Code §1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor."

Common Sense. We cannot nor do we try to control the information provided by other users which is made available through our system. By its very nature, other people's information may be offensive, harmful or inaccurate, and in some cases will be mislabeled or deceptively labeled. We expect that You will use caution -- and common sense -- when using our site.

SELLING SYSTEM

System Integrity. You agree that you will not use any device, software or routine to interfere or attempt to interfere with the proper working of the S2SNetwork site or any sale being conducted on our site. You may not take any action which imposes an unreasonable or disproportionately large load on our infrastructure. You may not disclose or share your password to any third parties or use your password for any unauthorized purpose.

GENERAL LEGAL TERMS

What Happens if You Break the Rules? We may immediately issue a warning, temporarily suspend, indefinitely suspend or terminate your membership, any of your current listings, and any other information You place on the site if You breach this Agreement or if we are unable to verify or authenticate any information You provide to us. Without limiting any other remedies, S2SNetwork may suspend or terminate your account if You are found (by conviction, settlement, insurance or escrow investigation, or otherwise) to have engaged in fraudulent activity in connection with our site.

The service is provided "As Is". We will try very hard to make your experience with S2SNetwork a pleasurable one. However, we cannot always foresee or anticipate technical or other difficulties. These difficulties may result in loss of data or other service interruptions. For this reason, You agree that S2SNetwork's services are provided "AS-IS". We cannot assume responsibility for the timeliness, deletion, mis-delivery or failure to store any user data, communications or personalization settings. WE AND OUR SUPPLIERS PROVIDE THE S2SNetwork WEBSITE AND OUR SERVICES "AS IS" AND WITHOUT ANY WARRANTY OR CONDITION, EXPRESS OR IMPLIED. WE AND OUR SUPPLIERS SPECIFICALLY DISCLAIM THE IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to You. This warranty gives You specific legal rights and You may also have other legal rights which vary from state to state.

Limit of Liability. IN NO EVENT SHALL WE OR OUR SUPPLIERS BE LIABLE FOR LOST PROFITS OR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (HOWEVER ARISING, INCLUDING NEGLIGENCE) ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT. OUR LIABILITY, AND THE LIABILITY OF OUR SUPPLIERS, TO YOU OR ANY THIRD PARTIES IN ANY CIRCUMSTANCE IS LIMITED TO $1. Some states do not allow the limitation of liability, so the foregoing limitation may not apply to You.

General Compliance with Laws. You shall comply with all applicable laws, statutes, ordinances and regulations regarding your use of our service and your bidding on, listing, purchase and sale of items.

No Agency. You and S2SNetwork are independent contractors, and no agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship is intended or created by this Agreement.

Notices. Except as explicitly stated otherwise, any notices shall be given by email to service@S2SNetwork.com (in the case of S2SNetwork) or to the email address You provide to S2SNetwork during the registration process (in your case), or such other address as the party shall specify. Notice shall be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid. Alternatively, we may give You notice by certified mail, postage prepaid and return receipt requested, to the address provided to S2SNetwork during the registration process. In such case, notice shall be deemed given 3 days after the date of mailing.

Arbitration. Any controversy or claim arising out of or relating to this Agreement shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitrary shall be conducted in Illinois and judgment on the arbitration award may be entered into any court having jurisdiction thereof. Either You or S2SNetwork may seek any interim or preliminary relief from a court of competent jurisdiction in Illinois necessary to protect the rights or property of You or S2SNetwork pending the completion of arbitration.

General. This Agreement shall be governed in all respects by the laws of the State of Illinois as such laws are applied to agreements entered into and to be performed entirely within Illinois between Illinois residents. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. Our failure to act with respect to a breach by You or others does not waive our right to act with respect to subsequent or similar breaches. This Agreement sets forth the entire understanding and agreement between us with respect to the subject matter hereof. More about Us. The services hereunder are offered by JGB Associates LLC, located at 9817 S. Ingleside Ave, Chicago, IL 60628. If You are a Illinois resident, You may have this same information emailed to You by sending a letter to the foregoing address with Your email address and a request for this information.
